Terms of Service

For individuals. Written to be read, and built on one fact: what you put in answers to you — and nothing happens to it without your say.

1. The agreement

These Terms of Service are a contract between you, as an individual, and Exempt Me Now, Inc., doing business as Resilia ("Resilia," "we," "us"). They govern your personal account and your personal use of the platform.

One fact governs them: what you put in answers to you, and nothing happens to it without your say.

If you also set up or act on behalf of an organization, a second contract — the Master Subscription Agreement — governs that organization's use. These Terms still govern you, the person. §16 explains how the two fit together.

2. Acceptance by registration

You accept these Terms by registering for, accessing, or using the platform. No separate signature or checkbox is required; completing registration is your agreement. When you register, you are shown this notice at the point you act: "By creating an account, you agree to the Resilia Terms of Service and Privacy Policy. If you are registering an organization account, you also agree to the Resilia Master Subscription Agreement on behalf of that organization, and you represent that you are authorized to bind it."

(a) Individual capacity. Every person who registers agrees, in their own personal capacity, to these Terms. This binds you as an individual and governs your personal account and your personal use of the platform.

(b) Organizational capacity. If, during registration, you provide an organization's legal name and set up an organization account, you additionally agree — on behalf of that organization — to the Master Subscription Agreement, and you represent that you have authority to bind that organization. If you do not have that authority, do not set up an organization account.

Each binding stands on its own. Registering a personal account binds only you. Setting up an organization account binds the organization. Doing both at registration creates both, each governed by its own document.

3. Definitions

A few words carry specific meaning here. We define them once. Resilia, we, us — Exempt Me Now, Inc. dba Resilia, the company that runs the platform. The platform (also "the Services") — the Impact Lattice software, including its code, design, and lattice architecture, and the AI features built on it. You — the individual who registers and accepts these Terms. Your content — everything you put in or create on your personal account (§6). Outputs — what AI features generate from your content (§8). Usage data — the technical record of running the software, never the substance of your content (§6). A consent grant — a named, scoped, bounded, revocable permission to share a defined view of your content with someone else. The Commons — the Impact Lattice Commons, the mission-locked pool that holds the rights, if any, to Outputs (§8). The free tier — the no-cost level of service an account reverts to when payment stops (§10). The protected commitments — the promises in §15 that no routine update can weaken.

4. Who can register

You must be 18 or older to register. A personal account is for your own use. Keep your credentials safe; your account is your responsibility, and you are responsible for activity under it.

If you set up an organization account, you confirm you are authorized to bind that organization (§2(b)). The organization is bound from the moment someone with that authority registers it.

5. Your account

Your personal account is yours to use, not to share, sell, or transfer. Tell us promptly at security@resilia.com if you believe someone has used it without your permission. We are not responsible for losses caused by someone using your credentials with your permission, or by your failure to keep them safe.

6. Your content, and three kinds of data

We don't own your content. We never did. Whatever rights exist in it stay with you. You alone export it, delete it, and decide who sees it. You give us only the license that lets the software function — to host, process, and display your content to you and to anyone you've consented to share it with, as you direct. That license ends when you leave, surviving only long enough to finish the deletion the Privacy Policy describes.

Three kinds of data move through the platform. Your content — everything you put in or create; yours (this section). Outputs — what AI features make from your content; yours to use and share, with the intellectual-property rights, if any, going to the Commons (§8). Usage data — the technical exhaust of running software (logins, feature use, device data, error logs); we use it to keep the platform working, secure, and improving — never to reconstruct your content.

If you share a view of your content with someone, you do it through a consent grant: named, scoped, bounded, revocable. Both sides can see it. Revocation cuts off access going forward — honestly, it can't unwrite something a recipient already saved before you revoked.

7. Acceptable use

The Acceptable Use Policy is part of these Terms. The short version: don't break the law with the platform, don't break the platform, and don't try to see past a consent grant. You also confirm you are not barred by U.S. sanctions or export rules from using the platform, and won't use it where those rules forbid.

8. AI features

No training, except as you direct. We may not use your content or Outputs to train any AI model. You can open exactly two paths, both in writing: commission a model built for you alone — it works only for you; or opt in to a named shared-model program.

Outputs. You keep the right to use what AI features generate for you. Whatever intellectual-property rights exist in those Outputs are assigned to the Impact Lattice Commons — the mission-locked pool — so they become shared sector knowledge rather than anyone's private asset, ours included.

Honesty about AI. Outputs can be wrong; anything consequential needs a human who checks it, and the product tells you when AI helped. AI features are not legal, tax, or grant-compliance advice. One boundary is ours: the platform will not generate credibility scores, eligibility rankings, or should-fund recommendations about anyone. Consequential judgments stay with people.

9. Privacy

How we handle data about you is in the Privacy Policy, which is part of these Terms. In short: we don't own your data, we collect the minimum the platform needs, and nothing happens to it without your say beyond the exceptions the law forces on everyone — and when those happen, we tell you.

10. Payment is separate from these Terms

You can use a personal account without paying. These Terms bind you whether or not money ever changes hands; they don't, on their own, make you owe anything. If you choose a paid feature or plan, the price and payment terms are presented to you separately at that point, and that commercial arrangement is its own layer on top of these Terms.

The check buys access, never the data. Anyone may pay for access — you, an organization, a funder — and paying makes no one a party to your personal agreement and gives no one rights over your content. If a payer stops paying, the account reverts to the free tier, your data and consent grants intact. Unpaid means downgrade, never lockout.

11. Our platform, your feedback

The platform — its code, design, and lattice architecture — is ours; your account is a right to use it, not a stake in it. That right doesn't include copying it, reselling it, reverse-engineering it, or probing it for weaknesses without our written okay — security research is welcome through security@resilia.com. Feedback is a gift: send ideas and we can use them, license-free, without ever needing your content. Each side keeps the other's non-public information confidential.

12. Suspension and leaving

Suspension. If an account is actively harming the platform, breaking the law, or threatening other people's data, we can suspend it to stop the harm — narrowly, only what's necessary, with notice as soon as we safely can and a path back once it's resolved. Suspension is a pause, not a deletion: your data stays intact.

Leaving. Leave any time, and leaving is complete: every record, file, and report exported — nothing withheld — free, for at least 60 days after your account closes. Termination for cause comes with 30 days to cure (none for consent-grant violations), and the same export. One honest note: where the platform keeps an append-only ledger, your content becomes unrecoverable, but entries showing that a record existed, when, and under which consent grants may remain, visible only to the parties of each grant.

13. Warranties and liability

We warrant the platform does what its documentation says; if it materially doesn't, we'll fix it or refund the affected paid period. OTHERWISE THE SERVICE IS PROVIDED "AS IS," AND ALL OTHER WARRANTIES ARE DISCLAIMED — capitals because the law wants you to see this.

Neither of us is liable to the other for indirect, special, incidental, or consequential damages. Our total liability to you for any claim relating to these Terms or the platform is limited to the greater of (a) the fees you paid us in the 12 months before the claim, or (b) USD 100. Some places don't allow some of these limits; where that's so, they apply to the fullest extent allowed, and nothing here limits liability that can't legally be limited.

14. What you're responsible for, and disputes

Your responsibility. You're responsible for what you do on the platform and what you put in — that you have the right to upload it, and that your use follows the laws that apply to you. Unlike an organization under the Master Subscription Agreement, you are not asked to take on our legal defense. You are simply responsible for your own unlawful use or infringing content if it occurs.

Disputes. Talk to us first — email legal@resilia.com and give us 45 days of good faith before anyone files. Then disputes are resolved by one-on-one arbitration seated in Delaware, under Delaware law. Arbitration is individual — no class actions, no jury. You have 30 days from first accepting these Terms to opt out of arbitration by writing us at that address. Either side can still go to the state or federal courts located in Delaware for an injunction or to protect its intellectual property, and either side can use small-claims court for matters that belong there.

15. Changes and the protected commitments

We may update these Terms by posting a new version and notifying you at your account email. Routine changes take effect after notice; if you don't agree, you can stop using the platform and leave with the full export in §12.

The protected commitments can't be weakened by any update you scroll past. They are: we won't sell your data, license it, train on it except as you direct, reach past your consent grants, or publish the meaning of your work without your consent — together with the two structural protections that make them hold: we claim no ownership over your content (§6) and research, benchmarks, and shared models are opt-in only (§8). Weakening any of them requires your affirmative consent; silence keeps the old terms governing your data.

If the company is acquired, the agreement assigns, and these protected commitments bind the acquirer, unmodified, as a condition. You get notice and a window to export and leave before any change of control takes effect.

16. How these Terms relate to the Master Subscription Agreement

You may be both a personal user of the platform and the authorized signer for an organization. When that happens, the two contracts stack — they don't replace each other. These Terms govern you, the individual — your personal account and your personal use. The Master Subscription Agreement governs the organization — its account, its content, and the use of the platform on its behalf.

Where you act on behalf of an organization, the Master Subscription Agreement governs that organization's use, and these Terms govern your personal use. If the two ever conflict as applied to organizational use, the Master Subscription Agreement controls for the organization; these Terms control for you personally.

17. The fine print

If a court strikes one part, the rest stands. Neither side is liable for failures truly outside its control — disaster, war, infrastructure we don't run. Not enforcing a term once doesn't waive it. You may not assign these Terms; we may assign them in a merger or sale, subject to §15. These Terms, plus the Privacy Policy and Acceptable Use Policy, are the whole agreement between you and us for your personal account. Notice means writing: to you at your account email, to us at legal@resilia.com. The promises that should outlast the contract do — ownership (§6), confidentiality (§11), the export window (§12), the liability limits (§13), and the protected commitments (§15).
